1. Parties and Acceptance
These Terms of Use (the "Terms") govern access to and use of the website www.evolvexllc.com and its subdomains, microsites, private areas for students, and third-party platforms used for the delivery of content (collectively, the "Site"), operated by Evolvex LLC, a Delaware Limited Liability Company with registered address at 407 E Ayre St #1121, Wilmington, DE 19804, USA ("Evolvex," "we," "us").By accessing, browsing, registering, ticking acceptance checkboxes, clicking acceptance buttons ("I Accept," "Buy," "Subscribe"), or otherwise using the Site, you declare that you have read and fully accept these Terms, as well as the Privacy Policy in force, which is incorporated by reference. If you do not agree, you must not use the Site or contract our services.The Site is available only to individuals who are 18 years of age or older with legal capacity to contract. You consent to receive communications and electronic records as admissible evidence under the U.S. E-SIGN Act.
2. Modifications
Evolvex LLC may revise and update these Terms at any time by publishing an updated version with the "Last Modified" date on the Site. Modifications take effect immediately upon publication. Continued use of the Site after publication implies acceptance of the changes.
3. Purpose and License
Evolvex LLC operates a digital training platform for personal and professional development, offering programs, products, and services to entrepreneurs, content creators, digital marketers, and professionals.By purchasing any product or service, the user obtains a limited, revocable, non-exclusive, individual, personal, and non-transferable license to access and use the content exclusively for educational and personal purposes. Sharing, reselling, redistributing, or allowing third-party access to purchased content is strictly prohibited.
4. Sales Conditions
4.1 Prices and Payments
All prices are expressed in USD. Taxes are not included and will be added where applicable. Payment is made through secure platforms such as Stripe, PayPal, or other authorized providers. The buyer declares they are authorized to use the selected payment method.
4.2 Refund Policy
Due to the digital nature and immediate access of our products, no refunds will be issued once content has been accessed through any channel (platform, email, direct link, community, private group). For subscription products, no refunds will be issued for monthly or annual renewals under any circumstances.Legal exception (first purchase only): The user may exercise the right of withdrawal within 14 calendar days following the initial purchase, provided no content has been accessed. To exercise it, send a written request to admin@evolvexllc.com.
4.3 Subscription Services
By subscribing, the user authorizes automatic recurring charges. Cancellation must be requested at least 7 days before the next charge by email to admin@evolvexllc.com. Fees already paid are non-refundable. Access remains until the end of the active period.
4.4 Payment Disputes
The user agrees to contact our support team first before initiating any chargeback or dispute. Initiating a dispute without valid justification may be considered a breach of contract and fraudulent use of the system, enabling Evolvex LLC to suspend access, block future purchases, report the incident as fraud to Stripe, PayPal, or issuing banks, and take legal action.
5. Account Security
The user is solely responsible for protecting their access credentials and maintaining their confidentiality. Improper, negligent, or fraudulent use of credentials constitutes a material breach of these Terms and entitles Evolvex LLC to suspend or cancel access without refund.
6. Intellectual Property
All content on www.evolvexllc.com — including texts, images, trademarks, logos, audiovisual content, educational material, course structure, program names, and teaching methodology — constitutes the intellectual property of Evolvex LLC or has been duly licensed. Any unauthorized use, reproduction, distribution, or commercial exploitation is strictly prohibited and may result in civil and criminal legal action.
7. User Contributions
Any content (comments, testimonials, reviews, messages, attachments) submitted by the user to Evolvex LLC constitutes a "User Contribution." By submitting it, the user grants Evolvex LLC a worldwide, perpetual, irrevocable, royalty-free, sublicensable, and non-exclusive license to use, reproduce, adapt, distribute, and incorporate it into advertising campaigns, success stories, or any related material, without further approval or notification.The user warrants that the content does not infringe third-party rights and does not contain unlawful, defamatory, or harmful material.
8. Disclaimer of Warranties
All products and services are offered "as is" and "as available," without any express or implied warranties of accuracy, results, financial benefits, professional transformation, or business success. Testimonials shown are real examples but do not constitute a promise of success or income. The user's success depends on their own effort, commitment, and execution.
9. Limitation of Liability
To the maximum extent permitted by law, Evolvex LLC shall not be liable for direct, indirect, incidental, special, punitive, or consequential damages, including loss of income, profits, or business opportunities.The total cumulative liability of Evolvex LLC related to any claim shall be limited to the lesser of: (a) one hundred U.S. dollars (USD $100), or (b) the total amount paid by the user to Evolvex LLC in the last six (6) months for the specific product or service.
10. Indemnification
The user agrees to defend, indemnify, and hold harmless Evolvex LLC, its members, employees, affiliates, contractors, and agents, from any claim, loss, damage, liability, or expense arising from improper use of the Site, violation of these Terms, or infringement of third-party rights.
11. Governing Law and Jurisdiction
These Terms shall be governed exclusively by the substantive laws of the State of Delaware, USA, without applying its conflict of law rules. Any legal action or judicial proceeding must be brought solely in the state or federal courts located in Delaware, with the user expressly waiving any other venue.Any cause of action arising from the use of this Site or these Terms must be initiated within one (1) year from the moment the cause of action arises, otherwise such claim will be irrevocably barred.
